Terms of Service

Welcome to Mumzie ("Platform", "Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our practice management platform for birth and postpartum doulas. By accessing or using Mumzie, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Definitions

  • "Provider" refers to doulas, birth professionals, and other service providers who use Mumzie to manage their practice.
  • "Client" refers to individuals who book services or interact with Providers through the Platform.
  • "User" refers to any person who accesses or uses the Platform, including both Providers and Clients.
  • "Content" refers to all information, data, text, images, and other materials uploaded or transmitted through the Platform.
  • "PHI" refers to Protected Health Information as defined under HIPAA.

2. Account Registration

To use certain features of the Platform, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

3. Acceptable Use Policy

You agree NOT to use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute any Content that is unlawful, defamatory, harassing, abusive, fraudulent, or obscene
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Misrepresent your credentials, certifications, qualifications, or professional status
  • Interfere with or disrupt the integrity or performance of the Platform
  • Attempt to gain unauthorized access to the Platform or its related systems
  • Use the Platform to send unsolicited communications (spam)
  • Collect or harvest any information from the Platform without authorization
  • Use automated systems (bots, scrapers) to access the Platform without our express written permission
  • Circumvent, disable, or interfere with security-related features of the Platform

4. Provider-Specific Terms

⚠️ Important Notice Regarding Credentials

You are solely responsible for the accuracy of any credentials, certifications, training, or qualifications displayed on your profile. By listing any credential or certification on your Mumzie profile, you represent and warrant that:

  • You have actually obtained the stated credential or certification from the issuing organization
  • The credential or certification is current, valid, and in good standing
  • You are authorized to represent yourself as holding such credential
  • You will promptly update or remove any credentials that expire, lapse, or are revoked
  • You will provide proof of certification upon request from Mumzie or potential clients

4.1 Credential Attestation

When you add certifications, training, or specialties to your public profile, you are required to attest that such information is accurate and current. This attestation is recorded with a timestamp and IP address for audit and legal purposes. By making this attestation, you acknowledge that providing false information may result in:

  • Immediate suspension or termination of your account
  • Removal of your public profile
  • Reporting to relevant certification bodies
  • Legal action for fraud or misrepresentation

4.2 Verification Disclaimer

Mumzie does not independently verify provider credentials. Credentials displayed on provider profiles are self-reported by providers. While we require providers to attest to the accuracy of their credentials, we do not:

  • Contact certification bodies to verify credentials
  • Review certification documents or certificates
  • Conduct background checks on providers
  • Guarantee the accuracy of any provider information

4.3 Professional Conduct

As a Provider, you agree to:

  • Maintain appropriate professional liability insurance
  • Comply with all applicable laws and regulations governing your profession
  • Provide services within your scope of practice and training
  • Maintain client confidentiality in accordance with applicable laws
  • Respond to client communications in a timely manner
  • Honor scheduled appointments or provide reasonable notice of cancellation

5. Client-Specific Terms

As a Client, you acknowledge that:

  • Provider credentials displayed on Mumzie are self-reported and have not been independently verified by us
  • You should conduct your own due diligence before engaging any Provider's services
  • You are encouraged to request proof of certifications directly from Providers
  • Mumzie is not responsible for the quality, safety, legality, or suitability of any services provided by Providers
  • Any contracts or agreements you enter into with Providers are between you and the Provider only
  • Mumzie does not provide medical advice and the Platform should not be used as a substitute for professional medical care

6. HIPAA Compliance and Protected Health Information

For Providers on paid subscription tiers that include HIPAA compliance features:

6.1 Business Associate Agreement

By using HIPAA-compliant features, you agree to our Business Associate Agreement (BAA), which is incorporated into these Terms by reference. The BAA governs our responsibilities as a Business Associate under HIPAA when handling PHI on your behalf.

6.2 Your HIPAA Obligations

As a covered entity or healthcare provider, you are responsible for:

  • Determining whether HIPAA applies to your practice
  • Implementing appropriate administrative, physical, and technical safeguards
  • Training your staff on HIPAA requirements
  • Obtaining necessary patient authorizations before disclosing PHI
  • Reporting any suspected breaches to us promptly

6.3 Non-HIPAA Tiers

Users on free or basic tiers acknowledge that those tiers are NOT HIPAA-compliant. You should not store, transmit, or process PHI using non-HIPAA-compliant features. We are not liable for any HIPAA violations that result from your use of non-compliant features.

7. Payment Terms

7.1 Subscription Fees

Certain features of the Platform require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

7.2 Payment Processing

Payments are processed through our third-party payment processor (Stripe). You agree to Stripe's terms of service when making payments through the Platform.

7.3 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in certain circumstances. Contact support for refund requests.

8. Intellectual Property

8.1 Our Property

The Platform, including its design, features, functionality, and content (excluding User Content), is owned by Mumzie and is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of Content you upload to the Platform. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of providing and improving the Platform.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, you will lose access to the Platform and your data may be deleted in accordance with our data retention policies.

9.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms
  • You engage in fraudulent, illegal, or harmful activity
  • You misrepresent your credentials or qualifications
  • We receive credible complaints about your conduct
  • We are required to do so by law
  • We discontinue the Platform or any part thereof

9.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.

10. Limitation of Liability

Important Legal Notice

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUMZIE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Reliance on provider credentials displayed on the Platform
  • Any services provided by Providers to Clients
  • Misrepresentation by Providers regarding their qualifications
  • Any dispute between Providers and Clients
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE PLATFORM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mumzie and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your Content
  • For Providers: misrepresentation of credentials or qualifications
  • For Providers: services you provide to Clients
  • Any dispute between you and another User

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@mumzie.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for at least 30 days.

13.2 Binding Arbitration

If we cannot resolve the dispute informally, you and Mumzie agree to resolve any disputes through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

13.3 Class Action Waiver

YOU AND MUMZIE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Mumzie concerning the Platform.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
